Harmonization of the Articles of Association of SPEEDEX in accordance with the provisions of Law 4548/2018 on limited liability companies.

24.6.2019 – Spilios Spiliopoulos and Partners Law Firm acts on behalf of SPEEDEX Company in order to harmonize its current Articles of Association with the provisions of Law 4548/2018 (on limited liability companies).

In particular, as of 1.1.2019, the new Public Limited Companies Law came into force with Law 4548/2018.

According to Article 183 of the Law, the new Law No. 4548/2018, entitled “Adaptation of the Articles of Association and minimum capital of joint stock companies”, existing joint stock companies may harmonize their Articles of Association in accordance with the provisions of Law 4548/2018. The decision to amend the Articles of Association for this purpose may be taken by a simple quorum and majority, provided that the relevant decision of the general meeting is taken within one (1) year from the entry into force of the aforementioned law, i.e. by 31.12.2019.

In case the above deadline has passed without action and the SA has not harmonized its Articles of Association by 31.12.2019, the legal entity may subsequently proceed with the harmonization of its Articles of Association based on the provisions of the new law by a decision of the General Meeting, which is taken in accordance with the law (i.e. with the presence of shareholders representing at least 1/5 of the paid-up share capital and with an absolute majority).
